1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and HousePilot Systems Inc. ("HousePilot," "we," "us," or "our") governing your access to and use of the HousePilot platform, including any associated mobile applications and services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use HousePilot. By using the Service, you represent and warrant that you meet these requirements. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. Account Registration

To use certain features of the Service, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

4. Subscription and Billing

4.1 Free Trial

We may offer a free trial period. At the end of the trial, you will be automatically enrolled in a paid subscription unless you cancel before the trial ends.

4.2 Subscription Fees

Subscription fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as expressly set forth in these Terms or as required by applicable law.

4.3 Automatic Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel your subscription at any time through your account settings.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Violate any applicable laws or regulations
• Infringe on the rights of others
• Upload malicious code or interfere with the Service
• Attempt to gain unauthorized access to any systems
• Use the Service to send spam or unsolicited communications
• Impersonate any person or entity
• Reverse engineer or decompile any part of the Service
• Use automated means to access the Service without permission

6. Your Content

6.1 Ownership

You retain all rights to the content you upload, store, or share through the Service ("Your Content"). We do not claim ownership of Your Content.

6.2 License

By uploading Your Content, you grant us a limited license to store, process, and display Your Content solely to provide the Service to you. This license ends when you delete Your Content or terminate your account.

6.3 Responsibility

You are solely responsible for Your Content and the consequences of uploading or sharing it. You represent that you have all necessary rights to Your Content.

7. Intellectual Property

The Service and its original content, features, and functionality are owned by HousePilot and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. Our trademarks may not be used without our prior written consent.

8. Privacy

Your privacy is important to us. Please review our Privacy Policy, which explains how we collect, use, and protect your information. By using the Service, you agree to our Privacy Policy.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free. You use the Service at your own risk.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOMEPILOT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE.

11. Indemnification

You agree to indemnify, defend, and hold harmless HousePilot and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising out of your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

12. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service will cease immediately. You may export your data before termination. We may retain certain information as required by law or for legitimate business purposes.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts located in Illinois.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms and updating the "Last updated" date. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

15. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and HousePilot.
• Severability: If any provision is found invalid, the remaining provisions remain in effect.
• Waiver: Failure to enforce any right does not constitute a waiver of that right.
• Assignment: You may not assign your rights under these Terms without our consent.
